Shares of SINGER and SGC rose sharply after they announced major capital restructuring to clear accumulated losses in their separate financial statements totaling over 2.295 billion baht. SGC will transfer legal reserve of 209,379,885 baht and share premium of 646,993,040 baht, totaling 856,372,925 baht, to offset all accumulated losses as of 30 June 2026, leaving no remaining accumulated losses and still retaining share premium of 2,535,280,527 baht. It also approved selling a car loan portfolio worth no more than 1.3 billion baht to a non-related juristic person. SINGER will transfer legal reserve of 82,820,154 baht and share premium of 12,334,930,378 baht to offset accumulated losses of 1,439,576,040 baht, bringing its separate financial statements back to no accumulated losses as well. Both companies set the record date for 3 September 2026 and will hold extraordinary general meetings of shareholders via electronic media on 29 September 2026. This move is seen as a major housecleaning to build confidence and pave the way for resuming dividend payments in the future.
