Tongyu Communication announced plans to use its own funds of 300 million yuan to acquire a total of approximately 25% equity in Shenzhen Jiaxian Communication Technology Co., Ltd. The transaction will be implemented in two stages. In the first stage, a 15% stake will be transferred for 180 million yuan. In the second stage, a 10% stake will be transferred for 120 million yuan, and the company has the right to decide whether to proceed within three months. The target company has committed to net profits of no less than 100 million yuan, 200 million yuan, and 300 million yuan for the years 2027, 2028, and 2029 respectively. This transaction does not constitute a related-party transaction or a major asset restructuring.
