*ST Weiming announced on October 7 that it plans to acquire a 50.69% stake in Luming New Materials, a company listed on the National Equities Exchange and Quotations, for approximately 43.4874 million yuan in cash. After the transaction is completed, it will hold a total of 90.47% equity in Luming New Materials and gain control. The announcement shows that *ST Weiming will acquire 25.5808 million shares from 27 shareholders of Luming New Materials at a transfer price of 1.7 yuan per share, and will sign a concert party agreement with Fu Xiuwen, the original actual controller and chairman of Luming New Materials. After the transaction is completed, Fu Xiuwen will still hold 39.78% equity in Luming New Materials, and has committed not to seek control of the listed company, pledging 2.5 million restricted shares to *ST Weiming as performance guarantee. Luming New Materials is mainly engaged in the research and development and production of energy-saving refractory materials and kiln engineering installation. From January to August 2026, it achieved operating revenue of 57.2065 million yuan, but due to the impact of the industry cycle, its net profit was negative 6.1559 million yuan. *ST Weiming stated that, affected by intensifying competition in the pharmaceutical industry and narrowing profits of its original core products, this acquisition aims to enter the new materials sector and build a dual-main-business model of 'pharmaceuticals plus new materials'. The transaction funds come from its own funds, and it does not constitute a related-party transaction or a major asset restructuring. However, it still needs to complete share delivery and internal review procedures. There remains uncertainty over whether the new materials business can be profitable, and the company is still under delisting risk warning.
