Axalta's Akzo merger clears EU hurdle as earnings stay strong

  • EU regulators set to clear Akzo deal with divestments AkzoNobel will sell overlapping vehicle-refinish businesses to satisfy EU regulators, who are expected to approve the $25 billion all-stock merger; the powder-coating concern was dropped. Removing this regulatory block makes the deal far more likely to close, supporting AXTA's price.

This is the biggest new force: the merger's key regulatory hurdle is being cleared.

  • Q2 beat: record EBITDA, revenue and EPS above estimates Axalta posted record quarterly adjusted EBITDA of $305 million at a 22.7% margin, revenue up 3.1% to $1.35 billion and EPS of $0.72, both beating estimates, with Refinish and Mobility growing. Strong results and maintained guidance support the stock.

The quarter's results are the core fundamental driver behind the shares.

  • Governance sweeteners and Akzo's own profit growth After shareholder talks, the combined company will hold annual director elections and lower a key approval threshold to two-thirds. AkzoNobel also reported higher Q2 profit and said the merger is on track, with a shareholder vote set for August 5.

These steps reduce deal risk and show the partner is financially healthy.

  • Fairness probe and valuation debate temper the good news A law firm is investigating whether Axalta's shareholders get a fair deal, which could pressure terms. Meanwhile one valuation model calls the stock about 30% overvalued near $35.81, while a cash-flow model sees it far higher, so views on worth are split.

This is the real counterweight: legal risk to the deal and disagreement over what the shares are worth.

AkzoNobel to Offer Divestments to EU for $25 Billion Axalta Deal

AkzoNobel is expected to offer divestments in its planned $25 billion purchase of Axalta Coating to try to allay concerns from European Union regulators. The remedies, expected to be filed next week with the European Commission, would involve the sale of certain overlapping businesses in the vehicle refinish market, according to a Bloomberg report on Thursday citing people familiar with the matter, while the EC's issues over the combination's impact on the powder coating markets have been dropped. The EC declined to comment to Bloomberg, and both AkzoNobel and Axalta didn't immediately respond to a request for comment. Separately, Reuters reported that EC regulators will approve the deal with the remedies, and the filing from the companies next week will extend the current EC's Oct. 22 deadline by 10 working days. The EC has until Oct. 22 to decide if it will approve the deal or open an in-depth probe. AkzoNobel said on Monday that it agreed to sell its Southeast Asian decorative paints business to Nippon Paint for $1.35 billion, concluding its strategic review of its Asian decorative paints portfolio, and Axalta in November announced an all-stock merger with AkzoNobel to create a global coatings company valued at approximately $25 billion.

Seth Klarman's Baupost Opens Three New Positions, Led by CME Group

Billionaire value investor Seth Klarman's Baupost Group opened three new positions in the second quarter, according to its latest 13F filing. CME's revenue rose about 1% year over year in the second quarter of 2026, while adjusted earnings per share also rose 1%, a modest gain the article attributes to a difficult comparison with an exceptionally strong second quarter a year earlier. CME trades at a forward non-GAAP price-to-earnings ratio of 22.42x, nearly double the sector median of 11.30x, and a forward non-GAAP PEG ratio of 3.28x versus a sector median of 1.07x.

Axalta Coating Systems May Be Fully Valued After Q2 Earnings and Guidance

Axalta Coating Systems reported second quarter 2026 earnings on July 28, showing modest sales growth but lower net income and earnings per share, and issued guidance for low single-digit net sales growth. The stock has returned 28.72% over the past year and 29.14% over the last 90 days, pushing its share price to $35.81. One widely followed valuation narrative estimates fair value at $35.71, suggesting the stock is about 30% overvalued, while a Simply Wall St discounted cash flow model points to a much higher fair value of $88.11 per share. The bullish case rests on rising demand for advanced and sustainable coatings driven by electric vehicle adoption, regulatory shifts toward low-VOC products, and innovations such as next-generation waterborne basecoats and the NexJet digital paint system, though risks remain if Performance Coatings volumes stay weak or mix shifts toward lower-priced body shops.
AXTA · Capital · Neutral Q2 earnings showed lower net income and EPS, but guidance and valuation estimates are mixed, with one model suggesting overvaluation and another undervaluation.
