SEC Proposes New Rule Allowing Funds to Hold Crypto for Clients

The U.S. Securities and Exchange Commission, or SEC, has proposed new rules that would make it easier for investment advisers and regulated funds to hold crypto assets on behalf of clients. The SEC announced the proposal on Thursday, October 1. It sets out a specific framework for the custody and safekeeping of crypto assets by registered investment advisers, investment companies, and business development companies. The proposal would open the door to self-custody of crypto assets under certain conditions, and would also allow state-regulated trust companies to act as custodians of crypto assets for clients and regulated funds. SEC Chairman Paul Atkins said existing regulations cannot adapt quickly enough to the rapid expansion of digital assets, which has now grown into a market worth several trillion dollars. The move comes after the Clarity Act, a bill aimed at establishing a broad regulatory structure for the crypto market, stalled in the Senate in September. The SEC will accept public comments for 60 days after publication in the Federal Register. Meanwhile, the crypto market is beginning to recover, with Bitcoin up more than 40% from its July low.

The transaction originally proposed to purchase a 51% stake in Yilu Weixing from Shenzhen Gaodeng Computer Technology Co., Ltd. through the issuance of shares, and to raise supporting funds by issuing shares to Beijing Zhiyun Erling Technology Co., Ltd., wholly controlled by actual controller Li Ning. The deal was expected to constitute a major asset restructuring and a related-party transaction, but not a restructuring and listing. The target company, Yilu Weixing, was established in August 2017 with a registered capital of 100 million yuan, focusing on ETC issuance services and ETC value-added businesses. Hanbang High-Tech stated that because the transaction had taken a long time to advance and the current market environment had changed significantly compared with the early planning stage, after careful study and friendly consultation with the counterparty, it decided to terminate the deal, and pledged not to plan any major asset restructuring matters for at least one month from the date of the announcement. The company will hold an investor briefing online on October 9, with attendees including the general manager, board secretary and chief financial officer, as well as representatives from the counterparty and the target company.
